These Terms of Service ("Terms") are a binding agreement between you and Thread Inc. ("Thread," "we," "us," or "our") governing your use of MaXi, our AI-powered personal finance assistant, and our related websites, applications, and messaging services (collectively, the "Service").

By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

Please read Section 13 (Dispute Resolution) carefully — it [includes / may include] an arbitration agreement and class-action waiver that affect your legal rights.

1. Eligibility

You must be at least 18 years old and a resident of the United States to use the Service. By using the Service, you represent that you meet these requirements and that the information you provide is accurate.

2. What MaXi Is — and Is Not

MaXi is an automated, AI-powered personal finance assistant and accountability tool. With your authorization, MaXi connects to your financial accounts (via Plaid) and email (read-only, via Google), organizes and categorizes your financial activity, helps you set budgets and reminders, surfaces insights, and communicates with you over web chat and Apple iMessage. MaXi is an automated service — you are interacting with software, not a human.

MaXi does not provide financial, investment, tax, legal, credit-repair, or other professional advice. See Section 4.

3. The Service: What MaXi Does

Subject to these Terms, MaXi may:

• link your bank, credit, and loan accounts via Plaid, and sync transactions, balances, and liabilities;

• categorize transactions and let you define budgets, categories, and rules;

• track balances, debts, recurring subscriptions, and bank fees;

• read your email on a read-only basis to detect bills and due dates;

• answer questions about your own finances and provide budget pacing such as "safe to spend";

• schedule reminders you request;

• generate payment-request links (e.g., Venmo, Zelle, Cash App) that you may choose to send; and

• send you responses and proactive alerts as described in Section 6.

MaXi does not move, transfer, send, withdraw, or invest money, and does not pay bills, execute trades, or cancel services on your behalf. MaXi only provides information and generates links and instructions that you must review and act on. You are solely responsible for any financial decision or action you take.

Authorization to Act on Your Behalf. When you expressly enable an agentic feature (such as subscription cancellation or sending a payment), you authorize Thread to act as your limited agent solely to perform the specific action you confirm. You may revoke this authorization at any time.

4. No Financial, Investment, Tax, or Legal Advice

The Service is provided for informational and organizational purposes only. Nothing MaXi says or does constitutes financial, investment, tax, legal, accounting, or credit-repair advice, a recommendation, or a solicitation, and no fiduciary or advisory relationship is created between you and Thread.

MaXi's outputs — including categorizations, insights, budget figures, and any estimated savings or "potential gain" amounts — are automated estimates that may be inaccurate, incomplete, or out of date. You should independently verify information and consult a qualified professional before making financial decisions. You use the Service and act on its outputs at your own risk.

5. Subscriptions, Billing, and Auto-Renewal

Subscription and price. MaXi is a paid subscription of $19.99 per month, billed through Stripe. Your payment method is charged when you subscribe and at the start of each renewal period.

30-day money-back guarantee. If you are not satisfied, you may request a full refund within 30 days of your initial charge by [contacting us at / canceling in-app and requesting a refund]. We will refund that first charge in full.

Automatic renewal. Your subscription automatically renews each month at the then-current price, and your payment method is charged automatically, until you cancel.

Cancellation. You may cancel at any time [in-app / by replying to MaXi / via the account dashboard]. Cancellation takes effect at the end of the current billing period, and you retain access until then. Except for the 30-day refund above, payments are non-refundable and we do not provide credits for partial periods, unless required by law.

Price changes. We may change subscription prices on prospective notice. Continued use after a price change takes effect constitutes acceptance.

6. Communications and Messaging Consent

By providing your phone number and opting in, you consent to receive messages from MaXi over Apple iMessage, including automated, proactive alerts that you did not specifically request (such as price-change, unusual-charge, and bill-split notifications). Message frequency varies. You can opt out by replying STOP and get help by replying HELP. Data rates may apply.

Your messaging consent and the full terms governing it — including the distinction between informational and promotional messages — are set out in our Messaging Terms, which are incorporated into these Terms. We also send transactional emails (e.g., receipts, security notices) necessary to operate the Service; you may opt out of any promotional emails at any time, but cannot opt out of transactional emails while you have an account.

7. Connected Accounts and Third-Party Services

You authorize Thread and our providers (including Plaid and Google) to access the accounts you connect, solely to provide the Service. Your use of those connections is also governed by the third parties' own terms — including Plaid's terms and End User Privacy Policy, Google's API Services User Data Policy, and Stripe's terms. You are responsible for complying with them. You may disconnect any account at any time.

Thread relies on third-party platforms it does not control. We are not responsible for third parties' acts, outages, term changes, or discontinuation of access, and we may modify or discontinue integrations.

8. Your Responsibilities and Acceptable Use

You agree to: provide accurate information; keep your account credentials secure; use the Service only for your own lawful, personal use; and not misuse the Service. You agree not to: access the Service through unauthorized means; reverse-engineer, scrape, or overload it; attempt to use it to obtain financial advice you then attribute to us; or use it in violation of law or the rights of others. You are responsible for activity under your account.

9. Intellectual Property and Your Content

The Service, including its software, models, designs, and content, is owned by Thread and its licensors and is protected by law. We grant you a limited, non-exclusive, non-transferable license to use the Service for your personal use.

You retain ownership of the information and content you provide ("Your Content"). You grant Thread a license to use, process, and store Your Content as needed to operate and improve the Service, consistent with our Privacy Policy.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any output is accurate or complete.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THREAD AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR FINANCIAL LOSS, ARISING FROM OR RELATED TO THE SERVICE OR ANY ACTION YOU TAKE BASED ON ITS OUTPUTS. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF $[100] OR THE AMOUNT YOU PAID US IN THE [12] MONTHS BEFORE THE CLAIM. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.

12. Indemnification

You agree to indemnify and hold harmless Thread and its affiliates from any claims, damages, and expenses (including reasonable legal fees) arising from your misuse of the Service, your violation of these Terms, or your violation of any law or third-party right.

13. Dispute Resolution; Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules.

14. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms or to protect the Service or others. Sections that by their nature should survive termination (including Sections 4, 9–13) will survive.

15. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you through the Service or by email. Continued use after changes take effect constitutes acceptance.
